ProfitShield

1. Service Description

ProfitShield is a Shopify application that provides real-time order profitability validation and analysis. The service includes:

• Real-time profitability calculations for orders and products
• Checkout validation to flag or block unprofitable orders
• Profit analytics dashboards and reporting
• Optional AI-powered profit optimization insights
• Price simulation tools for margin analysis

2. Account Terms

• You must be a Shopify store owner or authorized administrator to install and use ProfitShield.
• You are responsible for maintaining the security of your Shopify account and any credentials associated with ProfitShield.
• You must provide accurate and complete information when configuring ProfitShield, including product costs and shipping expenses.
• You are responsible for all activity that occurs through your ProfitShield installation.
• One Shopify store per ProfitShield installation. Each store requires its own installation.

3. Acceptable Use

You agree not to:

• Use ProfitShield for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to reverse-engineer, decompile, or extract the source code of ProfitShield
• Interfere with or disrupt the integrity or performance of the service
• Attempt to gain unauthorized access to the service or its related systems
• Use the service to store or transmit malicious code
• Resell, sublicense, or redistribute the service without our written consent
• Use automated tools to scrape, crawl, or extract data from the service beyond its intended functionality

4. Data Accuracy and Disclaimer

ProfitShield calculates profitability based on the data you provide (product costs, shipping rates, etc.) and data available through the Shopify API (order details, transaction fees, etc.).

Important: Profitability calculations are estimates and should not be treated as exact financial figures. The accuracy of calculations depends on the accuracy and completeness of the cost data you enter. ProfitShield is not a substitute for professional accounting or financial advice.

We make reasonable efforts to ensure the accuracy of our calculations, but we do not guarantee that profitability figures will be error-free. You are responsible for verifying critical financial decisions independently.

5. Order Blocking Disclaimer

ProfitShield may block or flag orders at checkout based on profitability thresholds you configure. You acknowledge that:

• You are solely responsible for configuring order blocking rules and thresholds.
• Blocked orders may result in lost sales. We are not responsible for any revenue impact from orders that are blocked.
• You should thoroughly test blocking rules before enabling them in a production environment.
• We recommend starting with "flag only" mode before enabling automatic blocking.

6. Intellectual Property

ProfitShield and all related intellectual property, including but not limited to the software, design, algorithms, and documentation, are owned by JMS Dev Labs. These Terms do not grant you any rights to our intellectual property except the limited right to use the service as described herein.

You retain all rights to your store data. We claim no ownership over the data you provide or the profitability calculations generated from your data.

7. Service Availability

We strive to maintain high availability of ProfitShield but do not guarantee uninterrupted or error-free service. The service may be temporarily unavailable due to:

• Scheduled maintenance (we will provide advance notice when possible)
• Shopify platform outages or API changes
• Circumstances beyond our reasonable control

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• ProfitShield is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• JMS Dev Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or related to your use of ProfitShield.
• Our total cumulative liability for any claims arising from or related to these Terms or the service shall not exceed the total fees you paid to us in the twelve (12) months preceding the claim.
• We are not liable for any decisions you make based on profitability calculations or AI-generated insights provided by ProfitShield.

9. Indemnification

You agree to indemnify and hold harmless JMS Dev Labs and its officers, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from your use of ProfitShield, your violation of these Terms, or your violation of any third-party rights.

10. Termination

Either party may terminate this agreement at any time:

• By you: Uninstall ProfitShield from your Shopify store at any time. Upon uninstallation, your data will be deleted in accordance with our Privacy Policy.
• By us: We may suspend or terminate your access if you violate these Terms, with notice where practicable. In cases of severe violations, we may terminate access immediately.

Upon termination, your right to use ProfitShield ceases immediately. Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting updated Terms within the application and updating the effective date. Your continued use of ProfitShield after changes are posted constitutes acceptance of the revised Terms.

If you disagree with any changes, you may uninstall ProfitShield at any time.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and JMS Dev Labs regarding the use of ProfitShield and supersede all prior agreements or understandings.
